Welcome to WavePBX (“we,” “our,” “us”). By accessing or using our IP PBX services, you (“you,” “your,” or “Customer”) agree to be bound by these Terms of Service (“Terms”). Please read them carefully.
1. Introduction & Agreement
These Terms constitute a binding agreement between you and WavePBX, governing your use of our internet-based PBX services. By signing up, accessing, or using our services, you accept these Terms in full.
2. Service Description
Our hosted IP PBX solution includes features such as call routing, voicemail, conferencing, SIP trunking, and administrative portals. Use of our service requires a stable internet connection and compatible devices, which you are responsible for.
3. User Responsibilities
Every user of the system must have their own unique login, shared accounts are prohibited and a violation of these terms.
You agree not to use the service for unlawful purposes, including but not limited to unsolicited calls (spam), harassment, or fraud. You must provide accurate account information and maintain the confidentiality of your login credentials.
4. Emergency Services Disclosure
You acknowledge that our VoIP-based services do not include access to 911 and E911 services.
911 calls will not be routed to a national emergency call center nor than local authorities.
Power outages, network issues, or device failures may inhibit call routing.
5. Service Availability & Limitations
We strive for 99.9% uptime during business hours, but do not guarantee uninterrupted service. Maintenance, upgrades, or network conditions may cause service degradation. We are not liable for outages due to events beyond our control.
6. Billing & Payment Terms
Services are billed in advance, monthly or annually, as per your plan.
Fees are non-refundable unless otherwise stated.
Late payments may result in suspension or termination of services as well as late fees and restoration fees.
You are responsible for taxes, regulatory fees, and other surcharges.
7. Portability & Number Ownership
You may port your number in or out following FCC regulations.
Numbers assigned by us remain our property unless transferred per FCC guidelines.
Number porting requests may be subject to verification and fees.
8. Privacy & Data Use
We collect and store Customer Proprietary Network Information (CPNI) only as required to operate the service.

We do not sell or share your personal data with third parties without your consent, unless legally required.
9. Termination & Suspension
We may suspend or terminate your access for violations of these Terms, non-payment, or abuse of the service. Upon termination:
Access will be revoked.
Numbers may be reclaimed unless ported.
Data retention is not guaranteed.
10. Limitation of Liability
To the fullest extent permitted by law:
We disclaim any warranties regarding uptime or fitness for a particular purpose.
We are not liable for lost profits, data, or damages exceeding the total fees paid in the latest billing cycle.
11. Indemnification
You agree to indemnify and hold harmless WavePBX from claims arising from your use of the service, including violations of law or these Terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of New York, U.S.A., without regard to conflict of law principles. Disputes shall be resolved through arbitration in New York, NY, unless otherwise mutually agreed.
13. Modifications
We may update these Terms at any time. Changes will be posted to our website with the effective date. Continued use constitutes acceptance.
